TechieGlance - Terms and Conditions

1. Introduction

  • These Terms and Conditions ("Agreement") govern the provision of Odoo ERP development services ("Services") by TechieGlance ("Company," "we," "us," or "our") to you ("Client," "you," or "your"). By engaging our Services, you agree to be bound by these Terms and Conditions. 

2. Scope of Services

  • TechieGlance provides development, customization, implementation, and support services for Odoo ERP solutions. 
  • The specific scope of Services will be defined in a separate Statement of Work (SOW) or project proposal, which will be agreed upon by both parties. 
  • Any changes to the scope of Services must be agreed upon in writing by both parties and may result in adjustments to the project timeline and cost. 

3. Payment Terms

  • Milestone-Based Billing - For projects with defined milestones, payments will be due upon completion and acceptance of each milestone as outlined in the SOW.
  • Hourly Rate Billing -  For projects or tasks billed on an hourly basis, the hourly rate will be as published on our website or as otherwise agreed upon in writing. Time will be tracked and billed in [specify increment, e.g., 15-minute] increments.
  • Invoices will be issued [specify frequency, e.g., monthly, upon milestone completion] 
  • Payment is due within [specify number, e.g., 15, 30] days of the invoice date. 
  • Late payments may be subject to a late fee of [specify percentage, e.g., 1.5%] per month or the maximum allowed by law, whichever is less. 
  • All prices are exclusive of applicable taxes, which will be added to the invoice. 

4. Client Responsibilities

  • The Client will provide timely access to necessary information, resources, and personnel required for the provision of Services. 
  • The Client is responsible for the accuracy and completeness of all information provided to TechieGlance. 
  • The Client will promptly review and provide feedback on deliverables and milestones.
  • The client is responsible for providing and maintaining all required hardware and software not explicitly provided by Techieglance.

5. Intellectual Property

  • Upon full payment, the Client will own the custom code developed specifically for their project.
  • TechieGlance retains ownership of any pre-existing code, tools, or methodologies used in the provision of Services. 
  • Odoo's standard license terms apply to the Odoo software itself. 
  • Any intellectual property provided by the client, remains the property of the client. 

6. Confidentiality

  •  Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of the engagement.
  • This obligation of confidentiality will survive the termination of this Agreement.

7. Warranty and Limitation of Liability

  • TechieGlance warrants that the Services will be performed in a professional and workmanlike manner. 
  • TechieGlance provides a [specify period, e.g., 30-day] warranty on custom code developed, covering defects arising from our work. 
  • TechieGlance's liability for any claim arising from this Agreement will be limited to the total amount paid by the Client for the Services. 
  • TechieGlance will not be liable for any indirect, incidental, consequential, or punitive damages. 
  • Techieglance is not responsible for any issues arising from third party apps or modules installed by the client or a third party. 

8. Termination

  • Either party may terminate this Agreement upon [specify number, e.g., 30] days' written notice.
  • TechieGlance may terminate this Agreement immediately if the Client breaches any material term of this Agreement, including failure to make timely payments. 
  • Upon termination, the Client will pay for all Services rendered up to the date of termination.

9. Governing Law and Dispute Resolution

  • This Agreement will be governed by and construed in accordance with the laws of Gujarat, India 395006.
  • Any disputes arising from this Agreement will be resolved through arbitration in Gujarat, India 395006.

10. Amendments

  • This Agreement may be amended only by a written agreement signed by both parties.

11. Entire Agreement

  • This Agreement, together with the SOW or project proposal, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

12. Force Majeure

  • Techieglance shall not be liable for any delay or failure to perform its obligations under this agreement if such delay or failure results from events or circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, lockouts, or other industrial disputes.

13. Acceptance

  • By engaging TechieGlance's services, the client acknowledges they have read, understood and accept these terms and conditions.
